Functional Scope and Revenue Linkage:

Core Functional Scope 

The Legal & Compliance Manager is responsible for: 

  • Drafting, reviewing, and managing contracts 
  • Ensuring compliance with relevant laws and regulations
  • Supporting deal structuring from a legal perspective
  • Managing legal documentation and records
  • Identifying and mitigating legal risks
  • Advising internal teams on legal implications of actions 

The role ensures that all activities are: 

  • Legally valid
  • Properly documented
  • Structurally sound

Revenue Linkage 

This role contributes to revenue by: 

  • Ensuring that commercial agreements are enforceable
  • Reducing risk of financial loss due to disputes or non-compliance
  • Supporting structured partnerships and deals
  • Preventing delays caused by legal uncertainty
  • Protecting the organisation’s rights and financial interests 


The Legal & Compliance Manager is directly accountable for: 

  • Legal soundness of revenue-generating agreements
  • Reduction of legal risks that could impact revenue
  • Ensuring compliance does not hinder operations but supports them 

Key Responsibilities:

Contract Drafting and Review 

The Legal & Compliance Manager must ensure that all contracts are: 

  • Clearly written
  • Legally enforceable
  • Aligned with commercial objectives
  • Protective of the organisation’s interests 

This includes contracts related to: 

  • Partnerships 
  • Clients and customers
  • Suppliers and vendors
  • Consultants and service providers
  • Programme agreements

No significant commercial activity should proceed without proper documentation. 

Deal Structuring Support 

The Legal & Compliance Manager must support the structuring of commercial deals by: 

  • Advising on legal implications
  • Ensuring proper documentation of terms 
  • Identifying potential risks
  • Suggesting protective clauses 

The role must ensure that: Deals are not only profitable, but legally secure. 

 Regulatory Compliance 

The Legal & Compliance Manager must ensure compliance with all applicable: 

  •  Industry regulations
  • Financial regulations (where applicable)
  • Data protection laws
  • Labour laws
  • Contractual obligations 

The role must monitor regulatory changes and ensure that operations remain compliant. 

Risk Identification and Mitigation 

The Legal & Compliance Manager must proactively identify risks such as: 

  • Weak or unclear contracts
  • Non-compliant activities
  • Exposure to disputes
  • Unprotected intellectual property
  • Improper documentation 


The role must: 

  • Flag risks early
  • Recommend corrective action
  • Support implementation of safeguards 

Legal Documentation Management 

The role must maintain a structured system for: 

  • Contract storage
  • Legal records
  • Compliance documentation
  • Regulatory filings 


All documents must be: 

  • Accessible
  • Organised
  • Up to date 

Dispute Prevention and Resolution Support 

The Legal & Compliance Manager must: 

  • Identify potential disputes early
  • Support resolution through structured communication
  • Advise on legal options where disputes arise 

The role should aim to: Prevent disputes where possible, and manage them e ectively where necessary. 

Internal Legal Advisory 

The Legal & Compliance Manager must provide guidance to teams on: 

  • Contract terms
  • Legal risks 
  • Compliance requirements
  • Acceptable business practices 


This includes supporting: 

  •  Commercial teams (deals and partnerships)
  • Operations teams (delivery and execution)
  • Finance teams (financial compliance) 

Policy Development and Enforcement 

The role must support the development of: 

  • Internal policies
  • Compliance guidelines
  • Documentation standards 

The Legal & Compliance Manager must ensure that these are: 

  •  Clear 
  •  Practical 
  • Followed 

Coordination with External Legal Support 

Where external legal counsel is required, the Legal & Compliance Manager must: 

  • Coordinate communication
  • Provide necessary documentation 
  • Ensure alignment with internal objectives 

Monitoring and Reporting 

The Legal & Compliance Manager must maintain visibility over: 

  • Contract status 
  • Compliance requirements
  • Legal risks 

Reports must include: 

  • Active contracts
  • Compliance status 
  • Identified risks
  • Required actions

Each week, the Legal & Compliance Manager must:

Phase 1: Days 1–30 — Assessment and Documentation 

  • Review existing contracts and agreements

Required Qualifications and Experience

  • 4–8 years of experience in legal, compliance, or related roles 
  • Experience drafting and reviewing contracts
  • Knowledge of relevant laws and regulations
