Senior Commercial Associate

Our Legal client based in Sandton is seeking a skilled and motivated Corporate Commercial Associate to join their team

Minimum requirements:

• LLB Degree
• Admitted Attorney of the High Court of South Africa
• 5-6 years' solid post-admission experience in Corporate and Commercial Law
• Proven experience in corporate transactions, including mergers and acquisitions and/or project finance transactions
• Strong drafting, negotiation, and analytical skills
• Demonstrated experience in client engagement and relationship management
• Draft, review, and negotiate a wide range of commercial agreements and legal documents
• Advise clients on corporate and commercial law matters
• Assist with and manage corporate transactions, including mergers and acquisitions, restructures, and project finance transactions
• Draft and review:
  o Sale of Business Agreements
  o Sale of Shares Agreements
  o Shareholders Agreements
  o Partnership Agreements
  o Memoranda of Incorporation (MOIs)
  o Commercial contracts and related transaction documents
• Conduct legal research and provide practical legal advice
• Build and maintain strong client relationships
• Ensure compliance with applicable legislation, including the Companies Act and related regulatory requirements
• Manage matters independently while collaborating effectively with the broader team
